2. Terms and Conditions
These terms of sale, together with the order placed, whether by email or telephone, constitute the entire agreement between the customer and the company and supersede any prior contracts and agreements between the parties.
3. Order Placement and Acceptance
Any order for products and/or consulting services from the Customer is considered a commitment from the Customer to purchase products and/or consulting services in accordance with these terms of sale.
A binding order confirmation/invoice will only be sent once we have been in dialogue and agreed upon the desired product. An order includes a service or product ordered via our sales team, by email, telephone, or through other contact relations.
Products requiring Certification must be administered by, or on behalf of, an identified and registered user who is qualified to use Products requiring certification and who is registered with the Company in accordance with the Company’s registration procedure. Products requiring certification must also be used in accordance with the Company’s Ethical Guidelines, which are available in the Company’s course folders and on the Website. The Company reserves the right to amend the Ethical Guidelines without prior notice. The Company reserves the right to refuse delivery of Products requiring certification to a Customer or a Registered User if the Customer or the Registered User fails to comply with the Ethical Guidelines.
No order placed by the Customer shall be deemed accepted by the Company until a written order confirmation or invoice has been issued by the Company, or (if earlier) until the Company delivers the Products and/or Consulting Services to the Customer.
When ordering Products requiring certification, the Customer must state the name of the Registered User.
Any offer from the Company to the Customer is valid for a period of 30 days from the date of the offer, provided that the Company has not withdrawn the offer earlier.
4. Terms and Conditions for Open Test Courses
The Company reserves the right to change details regarding course design, course content, and prices without notice.
Costs for voluntary hotel accommodation are not included in the course price.
The Company reserves the right to cancel or reschedule courses without penalty or liability if there are too few registrations, or for other reasons beyond the Company’s control.
5. Cancellation Policy
5.1 Cancellation and Rescheduling
Cancellation or rescheduling to another course date can be made if done in writing (email) to your contact person or info@t-u.dk in accordance with the guidelines below:
- Up to 6 weeks before course start: no fee
- Between 6 and 4 weeks before course start: 25% of the course price will be charged
- Between 4 and 2 weeks before course start: 50% of the course price will be charged
- Less than 2 weeks before course start: 100% of the course price will be charged
In case of illness or other impediment, you have the option to transfer your place on the course to a relevant colleague. This information must reach us no later than the day before the course starts, by 12:00. If this is not possible, the above rules apply.
Cancellation.
In order to ensure sufficient quality in our courses, we reserve the right to cancel courses. This may be the case, for example, if it is deemed that too low a number of participants will result in individual participants not gaining maximum benefit from the course.
In such cases, we will naturally offer a place on the next available course with the same content. If a place on a future course is not desired, a credit note will automatically be issued for the course in question.
The Company will endeavour to inform course participants as soon as reasonably possible if it is necessary to cancel a course.
6. Cancellation and Rescheduling
A significant part of the overall delivery consists of preparation and data analysis prior to the physical or digital execution. Therefore, no refund of the invoiced amount will be given upon cancellation, unless a specific written agreement exists (cf. however, the fee overview under the section “Cancellation Policy – Cancellation and Rescheduling”).
Rebooking: Upon request to reschedule sessions or courses, an administration fee equivalent to 5% of the total price of the service may be charged.
7. Certification of Participants
Participants in test certification courses should be aware that successful completion of such courses requires participants to demonstrate an understanding of the underlying principles and competence in the selection, administration, and feedback of the respective tests. While the Company will, to the greatest extent possible, ensure a high standard of instruction and impartiality in the aforementioned assessments, no guarantee is given that all course participants will achieve certification.
8. Terms and Conditions for In-Company Test Courses
In-company test courses can be cost-saving if a Customer has a number of participants wishing to enrol in test courses. Prices for these courses are available upon request.
8.1 Agreement:
Details and requirements for in-company courses will be agreed upon at the time the course is booked. In addition to the agreed course fee, we usually ask the Customer to provide for/or pay for the following:
- Course venue, AV equipment, and wireless internet broadband connection.
- All meals and refreshments during the course.
- Travel and accommodation for course leader(s) and, when required, observers.
- Courier transport costs for sending equipment and materials to and from the course venue.
- Volunteers for training in administration and feedback.
Other conditions will be as for open test courses.
9. Terms for Consulting Services
Consulting projects are defined as assignments undertaken by the Company’s employees or agents and subcontractors (hereinafter referred to as Consultants) on behalf of the Customer.
Projects will only commence after an agreement with the Customer on a clear project description has been reached.
9.1 Fees and Cancellation:
A consulting day is a maximum of eight hours between 9:00 and 18:00, unless otherwise agreed in writing between the parties. If evening work, weekend work, or work on public holidays is involved, and/or a project involves work outside Denmark, higher consulting fees will apply and be agreed upon in writing.
Travel time will be invoiced at 50% of the applicable consulting fee rate.
Consumed products will be invoiced at the current sales price and are subject to the Company’s Terms of Sale. Projects are invoiced in full at project commencement.
Costs associated with cancellation or postponement before the commencement of a consulting assignment are as follows:
- Within two weeks: the full consulting fee.
- Between two and four weeks: 50% of the full consulting fee.
If the Customer requests changes to the project, the Company will endeavour to accommodate the request. If these changes result in additional time consumption, this will be invoiced at the current daily rate for consulting fees.
Expenses incurred during the execution of the project, e.g., travel, accommodation, subsistence, and courier costs, will be invoiced in addition to the Consulting Fee.
9.2 Cancellation/No-show for Consulting Appointment
- Cancellation of a consulting appointment must be given no later than 1 week before the appointment.
- If no cancellation is given, TU may charge the Customer the agreed invoice.
- In case of cancellation due to special circumstances and within the 1-week deadline, TU will, as far as possible, try to book a new time with the Customer.
9.3 Access:
The Customer must provide the Consultant with access to their offices, personnel, and information about the Customer that the Consultant may need to perform the assignment. Any increase in time consumption as a result of the Consultant being denied reasonable access will lead to an increase in the project price.
The Customer must ensure that the Consultant has adequate workspace and facilities and must provide security for the Consultant’s and the Company’s property.
10. Conditions for Free Tests via the Website
Submitting a request to receive a test via the website, including free test trials with the top 9 talents sent via the website form, is not a legally binding agreement.
Talents Unlimited therefore has the option to cancel a test request or delete a test taken in our system due to technical problems, or when our team assesses that the age limit for a personality test and similar situations are not met.
Once you have submitted a request for a free test via the website, the system will send you an email confirming your request to try the test, along with instructions on how to take the test. Please note that the automatic reply (via email) may be delayed or end up in your junk mail folder. Talents Unlimited is not responsible for test links that do not reach you. Talents Unlimited reserves the right to send the test link at varying times, which means it may take up to five working days before you receive the test link. This is due to the possibility that our team may be on holiday or require time to assess whether the request complies with legal requirements.
As our test falls under the category of personality tests, very specific rules apply to its sale, which we hereby draw attention to: By accepting our terms of sale and business conditions, you simultaneously confirm that, when requesting the test, you vouch that you are of legal age and over 18 years old.
10.1 Requirements for Test Request:
- You must be over 18 years old and of legal age
- You must be in a mental state to be able to receive and handle a personality test.
- You must not use the Free Test for commercial purposes.
- If you are already a customer of Talents Unlimited, have been certified, or have purchased and taken a test through Talents Unlimited, it is not permitted to use the Free Test for business purposes, within your company, or for any other commercial use that hinders Talents Unlimited’s normal business operations.
11. Materials
All descriptive material, brochures, specifications, and advertisements prepared by the Company are published, among other things, with the purpose of providing an approximate idea of the Products and/or Consulting Services offered by the Company. Such supplementary material will not form part of the Contract. This material may not be disclosed without the Company’s consent.
12. Delivery
As our products consist of services, it is reserved that delivery may not always occur at the desired time. Talents Unlimited is not obliged to deliver at specific times unless this is part of the agreement when requesting specific services upon entering the agreement. Talents Unlimited reserves the right to cancel a course or workshop, feedback, or other service at any time without penalty if this is not possible for Talents Unlimited, in case of illness or other impediment. Talents Unlimited is not liable for non-delivery of Products and/or Consulting Services (even if this is due to the Company’s negligence), if written notice is given to the Customer. See also under the section “Cancellation”.
The Company reserves the right to postpone a delivery date, or to terminate the Contract, if the Company is prevented or delayed in performing its business due to circumstances beyond the Company’s reasonable control, including but not limited to force majeure, government action, war, national crisis, acts of terrorism, protests, epidemics, riots, civil unrest, fire, explosion, flood, lockout, strikes or other labour disputes (whether related to either party’s workforce or not), or interference or delays affecting carriers, or inability to or delay in obtaining supplies of adequate or suitable materials.
Any liability of the Company for non-delivery of Products and/or Consulting Services shall be limited to subsequent delivery of the Products and/or Consulting Services within a reasonable time or to the issuance of a credit note for any invoices issued for the Products and/or Consulting Services concerned.
Delivery of web-based electronic Products and/or Consulting Services related thereto and made available by the Company, including the TT38 talent test, will be subject to service fluctuations. It is reserved that the test is continuously developed, changed, and optimised, which means that the final report and appearance may change accordingly, without special consideration or price adjustment.
Talents Unlimited only delivers its services in Denmark, excluding Greenland and the Faroe Islands. By special request, it may be possible to purchase services in another country, by further agreement with Talents Unlimited Denmark ApS.
13. Terms of Use for Products
It is a prerequisite for gaining access to the use of the Products that the Customer’s registered users and Candidates accept the Company’s terms of use for the Products, including Talents Unlimited’s privacy policy. Talents Unlimited is entitled to change the wording of the terms of use for the Products, including Talents Unlimited’s Privacy Policy, without the Customer’s consent. Changes to the wording of the terms will be announced on the Company’s website 1 month before the change takes effect. The Customer accepts that Talents Unlimited’s terms of use for the Products take precedence in the event of conflicting provisions in the Customer’s contractual basis with the Company, unless Talents Unlimited’s consent has been obtained in connection with the deviation.
14. Customer’s Obligations and Responsibilities
The Customer warrants and undertakes: (a) In the event that the Customer is not also a Registered User, to ensure that only a Registered User uses Products requiring certification in accordance with the Company’s Ethical Guidelines, which are available in the Company’s course folders and on the Website; and b) The Customer must not make Products requiring certification available to persons who are not Registered Users.
The Customer shall indemnify the Company against all losses, claims, liabilities, costs (incl. legal fees), and expenses that the Company may incur in connection with the Customer’s breach of the Contract and/or these Terms and Conditions or the Customer’s misuse of the Products in violation of the Contract and/or the Terms and Conditions.
The Company is entitled to withdraw, suspend, or demand the return of already delivered Products if the Customer fails to comply with any of the following provisions: – The Customer breaches material obligations under these Terms and Conditions. – The Customer must ensure that the Products are used by employees with the relevant certifications. – The Customer is not prevented by authorities or by regulatory reasons from conducting its business. – The Customer has not been declared bankrupt or insolvent, and similar legal proceedings have not been initiated against the Customer or its representatives. The Customer’s conduct must not unreasonably compromise the stability, security, or operation of the Company.
15. Subscription Terms (General)
- The subscription period runs for 12 months from the agreement start date. The start date is always agreed with the customer, and the subscription is automatically renewed until terminated.
- There is a 3-month notice period before the end of the period, i.e., termination must occur before the end of the first 9 months.
- Upon expiry of the 12-month subscription period, the number of tests is reset, and the agreed number of tests is added for the coming 12 months.
- If all included tests are used before the subscription period expires, extra tests can be purchased as part of the existing subscription. The subscription will be renewed with the total number at the start of the new 12-month subscription period.
16. Subscription Terms – Service Subscription.
The following conditions govern access to and use of the TT38 service subscription module:
16.1 Purpose
The purpose of the subscription is to provide primarily certified TT38 consultants with access to professional advice, sparring, and guidance in the use of TT38.
The module is a supplement to TU’s TT38 certifications and can only be used as professional support and sparring – not as a substitute for certification or one’s own professional assessment.
16.2 Target Group and Access
Unless otherwise specifically agreed, the subscription can only be taken out for use by consultants who are validly certified in TT38.
TU reserves the right to refuse or terminate access to the Module if the certification lapses or is used in violation of TT38’s ethical and professional guidelines.
16.3 Service Content
The module includes up to 12 advisory and sparring sessions per agreement period.
Advice and sparring may include, among other things:
Analysis and execution of success profiling
Sparring in recruitment processes
Planning and execution of onboarding processes
Individual test feedback
Test feedback for groups and teams
Concrete and situation-specific problem solving
Sparring on the use of TT38 in new functions and organisational contexts
16.4 Session Execution
Each session has a maximum duration of 45 minutes and must be arranged as a session via Talents Unlimited.
Sessions are generally conducted digitally, unless otherwise agreed in writing with TU.
All sessions are registered in TU’s internal systems for documentation, quality assurance, and administration.
16.5 Consultants
TU exclusively uses certified specialist consultants for the provision of advice and sparring under the Module.
TU organises the allocation of consultants itself and may make changes thereto without notice, provided that professional quality is maintained.
16.6 Agreement Period and Termination
The agreement period is 12 months from the agreement’s effective date. Termination, renewal, and other terms follow the general subscription terms, cf. point 15.
17. Test Replacement:
At the end of each month, TU will notify via email and/or the test system about tests that can be replaced. The Customer must request replacement no later than 5 days after this notification by providing the test name and test ID to TU in writing.
TU can ONLY replace tests that are less than 3 months old and when:
- It was created incorrectly/is blank
- There is too much self-contradiction (more than 38%)
- These are uncompleted tests (marked yellow on the platform)
It is the customer’s own responsibility to check the expiry date and notify TU of any replacement.
18. Limitation of Liability
The following provisions constitute the entire basis of liability for the Company (including any liability for acts or omissions of its employees, agents, and subcontractors) to the Customer, with regard to breach of these Terms and Conditions and any representation, statement, or tortious act or omission, including gross negligence, arising under or in connection with the Contract.
The Company’s liability for all negligence resulting in direct loss of the Customer’s movable property shall in no circumstances exceed the amount actually received by the Company under the Contract with the Customer for the specific order.
The Company is not liable to the Customer for indirect losses and consequential damages, including, but not limited to, loss of profit, loss of data or its reconstruction, loss of interest, and impairment of goodwill.
The Company is not responsible for the applicability of Products and/or Consulting Services for a given purpose. The Customer must use their own skills and judgment to ascertain that the Products and/or Consulting Services are of merchantable quality and suitable for the Customer’s purpose. This condition shall apply notwithstanding that an employee or agent of the Company may at any time have expressed objections or opinions, either in writing or otherwise, regarding the suitability of any Product and/or Consulting Service for a given purpose.
The Company gives no warranties and is not liable to either the Customer or third parties regarding the suitability of Products and/or Consulting Services including, but not limited to, completeness or accuracy of computer-scored reports. The Company excludes all liability for disparate impact or disparate treatment as well as gender discrimination or racial discrimination resulting from the use of Products and/or Consulting Services supplied by the Company. The Customer shall indemnify the Company in the event that the Company or its licensor suffers loss or incurs expenses and/or costs as a result (either directly or indirectly) of the Customer’s breach of such obligations.
19. Copyright
The copyright to any Product, and data collected through the use of Products and Consulting Services, and/or work produced during or as a result of the Contract belongs to the Company or its licensor.
The Customer only obtains a time-limited right of use for the purchased Products etc. for the duration of the Contract for internal use within the Customer’s company in Denmark.
The Customer is not entitled to make any changes or modifications to the Products. If the Customer nevertheless makes changes or modifications to the Products, the Customer shall indemnify the Company against all losses, claims, liabilities, costs (incl. legal fees), and expenses that the Company may incur in connection therewith.
20. Confidentiality
Each party, its agents, and employees shall keep all information received from the other confidential.
21. Assignment
No party is entitled to assign the Contract or parts thereof without the other party’s prior written consent, except in the case of an organisational restructuring that does not result in a change of control for the party making such assignment. Notwithstanding data protection, the Company may assign the Contract to any of its affiliated companies or approved agents.
22. Contract Termination
The Company shall, in addition to its rights stated in the price section, have the right to immediately terminate the Contract in writing if the following applies:
- If the Customer breaches or is expected to breach any of the Customer’s obligations to the Company.
- If the Customer announces a suspension of payments, reconstruction negotiations are initiated, compulsory composition, or the Customer enters liquidation.
- If the Customer is declared bankrupt, and the bankruptcy estate does not, within a period of 5 working days from the pronouncement of the bankruptcy decree, notify the Company that the bankruptcy estate will enter into the Contract.
In the event of the Company’s termination of the Contract, the Company is not obliged to deliver further Products or Consulting Services under the Contract.
- The Customer shall indemnify the Company for all losses (including loss of profit), costs (including personnel costs and materials), and all expenses incurred by the Company as a result of such termination.
- The Customer (or the Recipient) shall, at their own expense, return unpaid or unused Products to the Company.
23. Prohibition of Purchase for Planned Resale Without Agreement with Talents Unlimited
If Talents Unlimited assesses that a customer has attempted to circumvent Talents Unlimited’s rules regarding the purchase of a service for planned resale, Talents Unlimited reserves the right to cancel one or more of these orders, without the customer being able to make any claim against Talents Unlimited in this regard. TT38 is a test owned by Talents Unlimited and may only be sold under an official binding license agreement with Talents Unlimited International ApS.
24. Right of Withdrawal
The withdrawal period expires 14 days after you have received your agreement by email.
Your right of withdrawal expires on the day you;
- Have received your service of any kind
- Receive the last item in physical possession, when it concerns an agreement for several different items ordered in one order and delivered individually.
- Receive the last lot, or the last part, in physical possession, when it concerns an agreement for the delivery of an item consisting of several lots or parts.
You must, before your service is delivered or before the invoice is paid, or immediately upon ordering your service and no later than 14 days after your order, provided the service has not already been delivered, notify us that you wish to cancel your purchase. Notification must be given by writing to info@t-u.dk or calling (+45) 7199 9094. In your notification, you must clearly inform us that you wish to exercise your right of withdrawal and no longer want the service.
If you exercise your right of withdrawal, payment will always be required for what has already been received or what has already been dispatched, whether it is a service in the form of Feedback or a course, or if it is a physical item in the form of a test or other.
25. Returns
An accepted order can only be cancelled or amended with the company’s written consent.
Talents Unlimited reserves the right not to accept, as Talents Unlimited has no physical goods other than our tests. It will therefore not be possible to return an item.
The test is personal and is therefore classified as a specific purchase.
It is not possible to withdraw or return a test, as it is created the moment the consumer takes the test. If the test is not accurate, it will be possible to order a new one or have the test deleted by Talents Unlimited, but not returned. It is not possible to return services already rendered, such as courses and feedback.
26. Payment
Payment is made via invoice issued by Talents Unlimited ApS. Payment information may possibly be stored in relevant places such as the bank according to applicable law, but not in Talents Unlimited Denmark ApS sales systems.
Payment must be made within 8 days from the invoice issue date. In case of non-payment, Talents Unlimited will charge a reminder fee as prescribed by law.
If the Customer fails to pay the Company any sum due, the Customer shall be liable to pay interest to the Company on such sum from the due date until payment is made at a rate of 1.5% per commenced month.
All outstanding payments to the Company under the Contract shall become immediately due upon termination of the Contract, notwithstanding any other provision.
The Company is entitled to withhold or suspend the delivery of Products and/or Consulting Services to the Customer or to terminate the Contract if the Customer has overdue debt to the Company. If the Products have already been delivered, but the Customer still has overdue debt to the Company, the Company is entitled to demand such Products returned, unless the Customer pays. The Company incurs no liability with regard to such withholding, suspension of delivery, or termination. Upon such termination, the Customer is liable to the Company for breach of Contract. The Company is furthermore entitled to claim reimbursement for any costs associated with the collection of the receivables.
27. Ordering and Start-up Procedure
Upon entering into an agreement for, for example, a consultant, feedback sessions, or project courses, Talents Unlimited commences tasks upon the agreement’s conclusion. This includes, among other things, administration, resource allocation, and the initial analyses that ensure the quality of the service.
Invoicing is therefore carried out immediately after the agreement is concluded.
28. Prices:
Unless otherwise agreed in writing between the Customer and the Company, the price for Products and/or Consulting Services will be the price stated in the Company’s current price list as of the order date.
The price for Products and/or Consulting Services is exclusive of VAT and other taxes. In the event of subsequent increases in VAT or other taxes, the prices under the Contract will be increased accordingly, unless the amount is paid directly by the Customer.
For subsequent additional orders, price changes are reserved. Unless otherwise agreed, the current list price on the order date will always be decisive.
Prices are adjusted annually on 1 January according to general price developments.
29. Jurisdiction
The Contract and the Terms and Conditions are governed by Danish law. The parties have agreed that the Maritime and Commercial Court shall be the proper venue for this.
30. Data Protection
Where Candidates provide personal data about themselves to the Company in connection with these Terms and Conditions, the Company is obliged to process the Candidate’s personal data in the manner and for the purpose stated in the personal data policy and in the written data processing agreement (link DPA) entered into between the Company and the Customer. By entering into the Contract, the Customer and the Candidate agree to and consent to the Company’s use of personal data as stated below and in the personal data policy and the data processing agreement.
The Customer is the data controller and the Company is the data processor with regard to personal data processed by the Company pursuant to the Contract.
By purchasing Products under the Contract, the Customer guarantees that the Candidate has given specific and informed consent to the Company’s processing of the Candidate’s personal data as stated in the personal data policy and in the data processing agreement between the Company and the Customer.
The Company is entitled to change the personal data policy and these Terms and Conditions without notice, e.g., due to applicable legislation.
The Company may use the Registered Users’ personal names and company email addresses at the Customer and the Candidates’ personal names for invoicing the Customer and in connection with bookkeeping and auditing. Personal data used for invoicing, bookkeeping, and auditing is stored for as long as required by accounting legislation.
The Customer shall indemnify the Company for any loss (incl. fines, interest, and legal costs) if the Company incurs loss, costs, or liability as a result of the Customer’s failure to comply with its obligations under data protection legislation, including any local data protection legislation to which the Customer is subject.
The data subject is entitled to be informed whether personal data concerning them is being processed. The data subject can ask the Company to make any necessary changes to ensure that the registered personal data is accurate and up-to-date. Requests for insight into which personal data is processed by the Company must be sent in writing to the customer. The customer can ask the Company for help with this by forwarding the written request. Enquiries can be made by email to Talents Unlimited at info@t-u.dk or see below for more details.
